UK Terms and Conditions for Spinney Marketplace

1. Introduction

These Terms govern use of the Spinney platform. By creating an account or using the platform, you agree to these Terms.

2. Eligibility

You must be 18+ and legally capable of forming contracts.

3. The Spinney marketplace model

Spinney provides the platform that enables Users, Stores, and Communities to list and discover listings and complete transactions.

Unless we explicitly state otherwise, Spinney is not the seller of items/services listed by Stores. The contract for a listing is formed between the buyer and the listing owner.

4. Accounts

  • You must provide accurate information.
  • You are responsible for keeping access to your email secure.
  • We may suspend accounts for policy violations, fraud, or legal risk.

5. Stores, Communities, and moderation

  • Users may create a limited number of stores/communities as set by the platform.
  • Community owners/managers can approve stores and listings and moderate content inside their community.
  • Spinney may remove content or suspend accounts where required for safety, fraud prevention, or legal reasons.

6. Listings rules

  • Listings must be accurate and lawful.
  • Required media accessibility: alt text for images and captions for videos.
  • Certain items/services may be prohibited or restricted.

Prohibited items include:

  • Illegal items or services
  • Weapons, drugs, and controlled substances
  • Counterfeit goods
  • Items that infringe intellectual property
  • Adult content (except where explicitly permitted)

7. Orders, payments, wallet

  • Checkout is single-item only.
  • Payments are processed via third-party providers (e.g., Stripe).
  • Users have a wallet view showing balances, allocations, and payouts.
  • Community allocations (where applicable) are calculated per configured rules.

8. Fees

Platform fees may vary by listing type and deployment country and are shown during checkout and/or listing flows.

9. Refunds and disputes

  • Listing owners may issue full or partial refunds.
  • Buyers can report issues via the order page.
  • Disputes may require evidence uploads and may be escalated.

10. Consumer rights (UK)

If you buy from a business store (a "trader"), you may have statutory rights under UK consumer law, and additional information/cancellation rights can apply to distance contracts depending on what is sold and how it is supplied.

Business stores are responsible for providing required pre-contract information and for complying with applicable consumer rules.

11. Content, IP, and licence

  • Users retain ownership of content they upload.
  • Users grant Spinney a licence to host, display, and distribute content for operating and marketing the platform.
  • Content is removed from public display when you delete it, subject to retention requirements.

12. Liability

Spinney acts as a platform intermediary. We are not liable for:

  • The quality or accuracy of listings
  • Disputes between buyers and sellers
  • Actions of users, stores, or communities

Nothing in these terms excludes liability for fraud, death/personal injury due to negligence, or other non-excludable liabilities under UK law.

13. Termination

  • Users may close accounts (subject to retention obligations).
  • Spinney may suspend/terminate for breaches, fraud, safety, legal compliance.

14. Governing law

These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
